Nothing on this website constitutes an offer to sell, or the solicitation of an offer to buy, any security or investment product, in any jurisdiction where such an offer or solicitation would be unlawful or to any person to whom it would be unlawful to make it. The pages describing strategies, projects and approach exist to explain how NWX works. They are not the terms of anything.
An offer is made only by delivering the offering documents for a specific vehicle — its private placement memorandum, limited partnership agreement, subscription agreement and related materials — to a person eligible to receive them. Until that happens, nothing you have read here can be accepted, and nothing you have said to us can be an acceptance.
No advice, and no adviser relationship
Nothing here is investment, legal, tax, accounting or regulatory advice, and none of it is personalised to your objectives, your financial situation, your other holdings or your tolerance for loss. It is written for a general audience, and a general audience does not include you specifically.
Reading this website, requesting material, subscribing to a newsletter or speaking with our investor relations team does not make NWX your adviser or your fiduciary, and no such relationship arises unless it is set out in a signed agreement. Before you invest in anything, read the offering documents in full and take advice from your own attorney, accountant and financial adviser, who are able to consider your situation and are accountable to you for the advice they give.
Who these materials are for
Interests in NWX offerings are offered under Rule 506(c) of Regulation D under the Securities Act of 1933, and are available only to accredited investors. Rule 506(c) does not permit self-certification: an issuer relying on it must take reasonable steps to verify that each purchaser is accredited, which in practice means documentary evidence of income or net worth, or written confirmation from a licensed attorney, certified public accountant, registered broker-dealer or registered investment adviser.
The interests are not registered under the Securities Act or any state securities law, and are sold in reliance on an exemption from registration. They may not be resold except as permitted under those laws, which is one of the reasons they are illiquid. If you are not an accredited investor, the material on this site is background reading and nothing more.
What an investor profile does and does not do
Creating a profile, requesting materials, joining a waiting list, indicating interest in a project or completing a verification step does not establish your eligibility, does not reserve an allocation, does not create any obligation on NWX to offer you anything, and does not commit you to invest. Any of it may be declined, and allocations may be reduced, reallocated or withdrawn at any time before a subscription is accepted in writing. Nothing becomes binding on either side until a subscription agreement has been signed and accepted.
The offering documents govern
Where anything on this website differs from the offering documents for a specific investment, the offering documents govern, without exception and regardless of which you read first. Website copy is a summary written for clarity; the documents are the instrument, and they contain the terms, fees, expenses, conflicts, risk factors, restrictions on transfer and remedies that actually apply. A summary that is easier to read is still a summary. Do not treat a page on this site as a substitute for reading them, and do not rely on a conversation about them in place of the text.
The regulatory status of NWX
NWX is not registered as an investment adviser with the Securities and Exchange Commission, and it is not a broker, a dealer, a bank or an insurance company.
No securities regulator — federal or state, in the United States or elsewhere — has approved, disapproved, endorsed or passed upon the merits of any NWX offering, or upon the accuracy or adequacy of any material describing one. Any statement to the contrary is unlawful. Interests in the funds are not bank deposits, are not insured by the Federal Deposit Insurance Corporation or any other agency, and are not guaranteed by any government or by NWX.
Performance, and the absence of a track record
Performance on this site belongs to the vehicle it names, not to NWX as a group, and it is presented with that vehicle's period or not at all. Where any result, figure or comparison appears, it is identified beside the figure as reported by NWX management, and it has not been audited, reviewed or verified by an independent third party. Reported figures are not audited financial statements and should not be read as though they were.
Past performance — ours, a manager's, an asset class's or an index's — never guarantees or indicates future results, and no return on any NWX offering is guaranteed. Individual investor results will differ from any aggregate figure according to the timing of their subscription, the fees and expenses they bear and the specific vehicle they hold. Any illustration of what a given amount "would have" produced is hypothetical, carries the limitations inherent in hypothetical results, and reflects no actual investor's experience.
Targets, projections and forward-looking statements
Any target return, projection, model, pro forma figure, illustrative allocation or statement about what NWX intends, expects, plans or believes is a forward-looking statement. It is an expectation, not a promise, and it is not a guarantee of any outcome.
Every one of them rests on assumptions — about rents, occupancy, construction costs, financing availability, interest rates, exit values, timing and the absence of events nobody modelled — that may prove wrong individually or together. Actual outcomes may differ materially and adversely from any figure shown. Forward-looking statements speak only as of the date shown beside them, and NWX undertakes no obligation to update or revise any of them after that date, whether because the assumptions changed, because new information arrived, or for any other reason.
The principal risks
Private investments carry substantial risk, including the loss of the entire amount invested. You should not invest unless you can afford to lose it all, and unless you are prepared for the investment to be worth nothing before it is worth anything.
Interests are illiquid. There is no public market for them, none is expected to develop, transfers are restricted by the fund documents and by securities law, and there is no right to redeem. You should be prepared to hold for the full life of the investment, which may be longer than originally contemplated.
Real estate and credit strategies carry construction and development risk, leasing and vacancy risk, borrower default and collateral risk, concentration in a small number of assets or markets, leverage that magnifies losses as well as gains, interest-rate and refinancing risk, environmental and regulatory risk, and valuation uncertainty — private assets are valued by estimate and not by a market price, and an estimate can be wrong. Outcomes depend on the continued involvement of a small number of key people, and on third parties such as developers, operators, lenders and service providers whom NWX does not control. Distributions are not guaranteed, may be suspended, and may in some circumstances represent a return of your own capital rather than income earned.
Fees, expenses and conflicts of interest
Fees, carried interest, expenses and compensation arrangements are set out in each offering's documents, and are not summarised on this website. They reduce returns, and the effect compounds over the life of an investment. NWX and its affiliates may have conflicts of interest, including in the allocation of opportunities among vehicles and investors, in transactions with affiliated parties, in the valuation of assets on which their compensation depends, and in devoting time to more than one vehicle at once. The offering documents describe the conflicts that apply to that vehicle and how they are addressed. Read that section rather than assuming it says what such sections usually say.
Third-party data, benchmarks and indices
Market data, peer figures and index levels shown on this site come from the sources named beside them, which include public filings, Redfin, the U.S. Bureau of Labor Statistics and FTSE Nareit. NWX has not independently verified data reported by third parties, and we do not warrant its accuracy, completeness or timeliness. Where a source revises its own data after publication, the figure shown here may no longer match it.
Indices are unmanaged, do not bear fees or expenses, and cannot be invested in directly. They appear for context only. No NWX strategy is managed against an index, and any NWX portfolio will differ from one in its holdings, its risk, its concentration and its liquidity. A comparison between a private strategy and a public index is not a like-for-like ranking, and should not be read as one.
Ratings, accreditations and third-party marks
Where a rating, seal or accreditation appears on this site, it is shown with a link to the issuer's own record so that you can check it there rather than take our word for it. NWX Management is an accredited business with the Better Business Bureau and holds an A+ rating from it. That rating is an assessment of a business by a private organisation, using its own criteria, and it is not a rating of any investment, any fund, or any security. No accreditation, membership or seal shown anywhere on this site should be read as regulatory approval, as a recommendation of an investment, or as an indication of how an investment is likely to perform.
Testimonials, endorsements and referrals
This website does not publish investor testimonials, endorsements or third-party recommendations of NWX or of any NWX offering, and nothing on it should be read as one. If NWX ever pays or otherwise compensates anyone for a testimonial or endorsement, or for referring investors, that arrangement and the conflict of interest it creates will be disclosed at the point where the statement appears, as the rules governing such statements require. A statement about NWX that you encounter elsewhere, without that disclosure, did not come from us and is not something we have adopted.
Projects, imagery and case studies
Project pages state whether you are looking at photography of a real asset, a conceptual rendering of something not yet built, or a documented case study, and they state the NWX relationship to each asset. Renderings are illustrations of intent and the finished asset may differ from them materially. Project status is given as of the date shown and may have changed since. A project appearing on this site is not an indication that an investment in it is available, that NWX holds it, or that any NWX vehicle will acquire it. Case studies describe process rather than results, are selected to illustrate how decisions are made, and are not representative of all investments.
Client benefits, events and eligibility
Client benefits, including any waiver of the fund's management and administration fee, apply to eligible relationships and are subject to final written program terms. A waiver applies only to that identified fee; it does not cover underlying fund expenses, performance allocations, transaction costs or third-party fees. Benefits and NWX Experiences may be changed, suspended, limited or withdrawn, are separate from any investment offering, are not consideration for making an investment, and do not guarantee event access, availability or any result. Nothing in a benefits program alters the terms of an investment or the risks described above.
Tax, and the Opportunity Zone rules after 2026
Tax treatment depends on your own circumstances, on where you are resident, and on law that can change — sometimes retroactively. Nothing here is tax advice. For qualifying investments made after December 31, 2026, the federal Opportunity Zone framework generally shifts to a five-year deferral period with a 10% basis increase after five years, and separate enhanced rules may apply to qualified rural opportunity funds. That summary is a pointer, not a determination: consult the official IRS guidance and your own tax adviser before relying on any of it, and before assuming that an investment qualifies at all.
Trademarks and what a brand registration means

Other NWX marks are trademarks of the NWX group of companies, used to identify our own services. A trademark, registered or not, is a right in a name and nothing else. It does not mean, and must not be read or presented as meaning, registration, approval, endorsement or supervision by the Securities and Exchange Commission, FINRA, the NFA, or any securities or investment-adviser regulator in any country. A trademark says that a name belongs to a company. It says nothing whatever about what that company is permitted to sell you.
Where these materials are directed
This website is directed at persons in the United States. Which page answers which question
This page is about what is being said to you and on what terms: what is an offer, what is a projection, what has been verified and what has not. It is deliberately not the whole of the small print. What we collect about you and what you can require us to do with it is the Privacy Policy. How that information is protected, and the short list of things NWX will never ask you for, is the Security page. The rules for using the website itself are the Terms of Use, and the specific disclosures attached to figures and claims elsewhere on the site are gathered under Legal & Disclosures. Each covers its own ground once, so that none of them has to be read twice.
